01Acceptance of Terms

By submitting a request for quote, placing an order, or completing checkout through rollerdirect.com (the "Site"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Site or place an order. These Terms apply to all purchases made from Roller Direct LLC, a California limited liability company ("Roller Direct," "we," "us," or "our").

02Who We Are

Roller Direct LLC distributes industrial conveyor rollers and related conveyor components. We source products from a network of independent manufacturers and resell them to businesses for their own use. Roller Direct is the seller of record for all orders placed through the Site; we take title to the goods we sell before reselling them to you.

03Quotes

Quotes provided through the Site are based on the specifications you submit and are valid for the period stated on the quote, or for 30 days if no period is stated. Quotes are not binding offers to sell until an order is confirmed as described in Section 4. Pricing, availability, and lead times are subject to change without notice until an order is confirmed.

04Orders and Payment

An order is confirmed when we receive a valid purchase order referencing your quote. No deposit or upfront payment is required.

The full order amount is invoiced at the time of shipment and is due net 30 days from the invoice date. Your purchase order number must be referenced on the order and will appear on your invoice.

All prices are in U.S. dollars. You are responsible for any applicable sales, use, or other transaction taxes, which will be calculated and added to your invoice where required by law.

05Lead Times and Fulfillment

Most orders are manufactured to order and ship directly from the manufacturing facility to your specified delivery address. Lead times vary by manufacturer and product and will be stated on your quote; they are estimates only and not guaranteed. Roller Direct is not liable for delays caused by our manufacturing partners, carriers, or events outside our reasonable control.

06Shipping, Freight, and Risk of Loss

All shipments are FOB origin, freight prepaid and added. Freight charges are passed through to you at the manufacturer's actual freight cost, itemized as a separate line on your invoice. Title and risk of loss pass to you upon the carrier's receipt of the goods at the point of origin, regardless of the drop-ship arrangement used to fulfill your order.

You are responsible for providing an accurate delivery address and for inspecting shipments promptly upon receipt. Freight damage claims must be noted with the carrier at the time of delivery whenever possible.

07Cancellations and Changes

You may cancel an order at no charge any time before we submit it to the manufacturer for production. Once an order has been submitted to the manufacturer, cancellation may no longer be possible, and if the manufacturer has begun or completed production, you will be responsible for any costs already incurred on your order, including the manufacturer's cancellation or restocking charges and the cost of any materials, parts, or work completed. If you need to cancel or change an order, contact us as soon as possible; we will make reasonable efforts to accommodate the request if production has not yet begun, but cannot guarantee this.

08Returns and Warranty

Custom and made-to-order parts are not eligible for return except where the goods are defective or do not conform to the specifications confirmed on your order. Report any such issue within 10 business days of delivery to arrange an inspection and, where applicable, a replacement, repair, or credit.

Products are covered by the warranty (if any) extended by the original manufacturer. Roller Direct passes through the manufacturer's warranty to you and makes no additional warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, beyond what the manufacturer provides.

09Limitation of Liability

To the fullest extent permitted by law, Roller Direct's total liability arising out of or relating to any order is limited to the amount you paid for that order. Roller Direct is not liable for any indirect, incidental, consequential, or special damages, including lost profits or downtime, arising from the purchase or use of products bought through the Site.

10Changes to These Terms

We may update these Terms from time to time. The version in effect at the time you place an order will govern that order. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

11Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in California.
